1. Introduction
These Terms & Conditions ("Terms") govern the provision of web design, development, branding, UX, SEO, and related digital services (the "Services") by Noxus Studios / Noxus Dynamics ("Noxus," "we," "us," "our"), to any individual or business that engages us for a project ("Client," "you," "your").
By signing a proposal, paying an invoice, or instructing us in writing to begin work, you agree to be bound by these Terms.
2. Definitions
- "Agreement" — the combination of a signed proposal/quote, any Statement of Work (SOW), and these Terms.
- "Deliverables" — the websites, designs, code, assets, or other work product we produce for you.
- "Project" — a discrete engagement scoped in a proposal or SOW.
- "Launch" — when Deliverables go live on a production domain or are formally handed off.
3. Our Services
We provide services that may include: web design, front-end and back-end development, branding and identity design, UX strategy, SEO, CMS setup, and post-launch support. The exact scope for any Project is set out in the relevant proposal or SOW.
4. Our Process
Projects generally follow five phases — Discover, Strategy, Design, Build, Launch — followed by optional ongoing Support. Specific milestones and estimated timeframes are confirmed in writing for each Project. Timelines are estimates, not guarantees.
5. Quotes, Fees & Payment
Quotes are valid for 30 days. Projects are typically billed as 50% deposit before work begins, 50% before launch. Invoices are due within 7 days. Late payments may pause active work. All fees are exclusive of applicable taxes unless stated otherwise. Third-party costs (domains, hosting, plugins, etc.) are billed separately.
6. Client Responsibilities
To keep a Project on schedule, the Client agrees to provide timely feedback, approvals, and content/assets; designate a single point of contact; and ensure required third-party accounts are available. Delays caused by the Client may extend the timeline.
7. Revisions & Change Requests
Each Project includes two rounds of revisions per phase as standard. Additional revision rounds or scope changes will be quoted separately and may affect timeline and cost.
8. Intellectual Property & Ownership
Upon receipt of full and final payment, ownership of the final Deliverables transfers to the Client. Until full payment, all work remains our property. We retain the right to display completed Projects in our portfolio and marketing materials.
9. Warranties & Disclaimers
We perform Services with reasonable skill and professionalism. We do not guarantee specific business outcomes (rankings, traffic, revenue). Deliverables are provided "as is" upon handoff beyond any agreed bug-fix period.
10. Post-Launch Support
We provide a 30-day bug-fix window after Launch covering defects in work we delivered. Ongoing support beyond this window is available under a separate agreement.
11. Limitation of Liability
Our total liability for a Project shall not exceed the total fees paid in the 3 months preceding the claim. We shall not be liable for indirect or consequential damages.
12. Cancellation & Termination
Either party may terminate with 14 days' written notice. The Client pays for all work completed up to termination. Deposits are generally non-refundable once work has commenced.
13. Governing Law
These Terms are governed by the laws of India, with exclusive jurisdiction of the courts of Kerala, India.

This Privacy Policy explains how Noxus Studios / Noxus Dynamics ("we," "us," "our") collects, uses, shares, and protects information when you visit our Site, contact us, or engage us for services.

This Policy applies to visitors of the Site and to prospective and current clients. It does not cover third-party websites we link to.

a) Information you give us directly — Contact details submitted via forms, email, or WhatsApp (name, email, phone, company, project details). Any files, briefs, or credentials shared during a Project.
b) Information collected automatically — Basic technical data (IP address, browser type, device type, pages visited) via our hosting provider and analytics tools. Cookies or similar technologies, if enabled.
c) Information from third parties — If referred to us, we may receive your basic contact details from the referring party.
We do not intentionally collect sensitive personal data through the Site.
4. How We Use Your Information

We do not sell your personal data.
5. Legal Basis / Consent
We rely on: Consent (contact forms, subscriptions — withdrawable at any time), Contractual necessity (data needed to deliver a Project), and Legitimate interest / legal obligation (technical/security logs, tax records).
6. Cookies & Similar Technologies
The Site may use essential cookies and analytics cookies. You can control cookies through your browser settings; disabling non-essential cookies will not affect core Site functionality.
7. Third-Party Service Providers
We may use: Hosting (Vercel), Analytics (Google Analytics / Vercel Analytics), Communication (WhatsApp Business). Each provider processes data under its own privacy terms.
8. Data Sharing & Disclosure
We do not share personal data except: with service providers strictly to operate the Site/business; if required by law; to protect rights and safety; or with your consent.
9. Data Retention
We retain personal data only as long as necessary — typically for the duration of a Project plus 3–7 years for accounting/tax records, or until you ask us to delete it.
10. Data Security
We take reasonable technical and organizational measures to protect personal data. However, no method of transmission or storage is 100% secure.
11. Your Rights
Subject to applicable law (including India's DPDP Act), you may: access your data, correct inaccurate data, request erasure, withdraw consent, or lodge a grievance.
12. Children's Privacy
The Site is not directed at children. We do not knowingly collect personal data from anyone under 18.
13. International Visitors
Your data may be processed in India or where our service providers operate. By using the Site, you understand your data may be transferred outside your home country.
